Terms and Conditions

The “COMPANY” refers to the entity hiring Crunchy Videos (the “CONTRACTOR”) for the agreed creative services. Crunchy Videos is a registered company located at [Insert Address].
By making payment on the initial invoice, the COMPANY agrees unconditionally to the terms of service outlined below:

1. SERVICES AND COMPENSATION
1.1 Services and Payments
The CONTRACTOR agrees to produce a creative project, such as a Animated brand video (the "Work"), for the COMPANY. Payments are as follows:
  • The COMPANY will make an initial payment of 60% of the project cost before work commences.
  • The remaining 40% is due upon COMPANY’s acceptance of the final deliverables and before the transfer of any creative materials.
    Invoices must be settled within seven (7) days of issuance.

1.2 Revisions
The COMPANY may request up to two rounds of revisions within seven (7) business days of receiving the initial Work.
  • Each round includes up to 10 change requests.
  • Modifications to the agreed storyboard are allowed. However, entirely new frames or significant deviations from the scope are considered outside the original scope and will incur additional charges.
The CONTRACTOR will deliver revisions that fall within the agreed scope within seven (7) business days. After these revisions, the Work is considered final. Delays beyond the agreed timeline are not grounds for additional compensation for either party.

1.3 Additional Services
If additional revisions or work outside the agreed scope is required, the COMPANY will compensate the CONTRACTOR at a rate of $50 USD per hour. This applies to any requests made after the included rounds of revisions are exhausted.
2. INTELLECTUAL PROPERTY RIGHTS AND ASSIGNMENT

2.1 Ownership
Upon full payment, the CONTRACTOR assigns all rights, including copyrights, to the COMPANY. These rights include the ability to grant licenses or use the Work in any manner globally.

2.2 Work for Hire
The Work is considered a “work for hire,” and ownership of copyrights will automatically vest in the COMPANY. If it is not deemed a work for hire, the CONTRACTOR waives all moral rights and assigns all ownership rights to the COMPANY.

2.3 Further Assistance
The CONTRACTOR agrees to assist the COMPANY in securing trademarks, copyrights, or other protections if needed, at any point during or after the engagement.

3. TERMINATION FEES
This Agreement automatically terminates if either party becomes insolvent or sells its business.

4. PRODUCTION DATE CANCELLATIONS

4.1 Rescheduling or Cancellations
If the COMPANY delays, suspends, or cancels a production date within 48 hours of the shoot, a 20% cancellation fee of the total project cost applies. This fee covers pre-booked production expenses, such as venue rentals, crew bookings, and other related costs.
5. PROJECT CANCELLATIONS
The initial deposit (60% of the project total) is non-refundable, as it covers pre-production expenses.
6. REPRESENTATIONS AND WARRANTIES; INDEMNIFICATION

6.1 CONTRACTOR Representations
The CONTRACTOR warrants that:
  1. The Work is original and has not been previously published.
  2. The Work does not include libelous or unlawful content.
  3. All necessary rights to assign the Work to the COMPANY are held by the CONTRACTOR.
The CONTRACTOR will indemnify and defend the COMPANY against any claims related to the above warranties.

6.2 COMPANY Representations
The COMPANY will indemnify and defend the CONTRACTOR against any claims arising from the COMPANY’s use of the Work.

7. COMPLETE AGREEMENT
This Agreement constitutes the entire understanding between the parties, superseding any previous communications. Modifications must be in writing and signed by both parties.

8. SEVERABILITY
If any part of this Agreement is found to be invalid, the remaining sections will remain in effect.

9. WAIVER
Failure to enforce any part of this Agreement does not constitute a waiver of future rights.

10. HEADINGS
Section headings are for convenience only and do not affect the interpretation of the Agreement.

11. COUNTERPARTS
This Agreement may be signed in multiple counterparts, all of which together form one document.

These Terms and Conditions apply to all projects undertaken by Crunchy Videos.
